NZX waivers

Current NZX waivers granted to Contact Energy are set out below:

CEN040 Bonds – Waiver from NZX Debt Market Listing Rule 5.2.3

On 10 February 2017, NZX Regulation granted Contact a waiver from NZX Debt Market Listing Rule 5.2.3 in respect of Contact’s CEN040 bonds, for a period of six months from their quotation date, to the extent this Rule requires the bonds to be held by at least 100 members of the public holding at least 25% of the CEN040 bonds on issue. The waiver was granted on the conditions that:

  • Contact clearly and prominently discloses this waiver and its implications in the Terms Sheet for the CEN040 bonds and any other offering document relating to an offer of CEN040 bonds made during the period of this waiver;
  • Contact clearly and prominently discloses this waiver, its conditions and its implications in its half-year report, and its annual report, for the period the waiver is relied on;
  • Liquidity is disclosed as a risk in the Terms Sheet for the CEN040 bonds; and
  • Contact notifies NZXR as soon as practicable if there is a material reduction to the total number of members of the public holding at least a minimum holding of the CEN040 bonds and/or the percentage of CEN040s held by members of the public holding at least a minimum holding.
